Terms of Service
These Terms explain the relationship between you and Starrality Network when you visit our website, submit a request or use an approved service.
Please Read Carefully
By accessing the website, submitting a request, accepting a proposal, making a payment or using a Starrality service, you agree to these Terms and any additional terms presented for the specific transaction. If you do not agree, do not use the website or services.
A signed agreement, accepted proposal, invoice, checkout disclosure, booking confirmation or other written terms for a particular service will control over these general Terms if there is a direct conflict.
A complimentary request does not authorize payment. Paid work, purchases and bookings require the applicable approval.
Third parties control their own availability, pricing, acceptance, performance and terms.
Deliverables, timing, fees and responsibilities are determined by the terms confirmed for the specific engagement.
“Starrality,” “Starrality Network,” “we,” “us” and “our” refer to PARA VITAE INC., doing business as Starrality Network, doing business as Starrality Network. “You” means the person using the website or services and, where applicable, the business or organization that person is authorized to represent.
These Terms apply to the Starrality Network website and services that link to them. A separate Starrality application, platform or product may have additional or different terms.
You must be at least 18 years old or the age of legal majority where you live to enter a paid engagement. If you act for a company, brand, talent, client or other person, you represent that you have authority to act for and bind that party.
A parent or legal guardian must approve services for a minor and remains responsible for the engagement, payment and required permissions.
Submitting a request does not require Starrality to accept it, guarantee availability or create a paid engagement. We may ask for more information, propose a different approach, decline the request or determine that an appropriate professional or provider should lead it.
An engagement begins only when Starrality accepts the request through an approved scope, confirmation, payment, written acceptance or another clearly communicated method.
A complimentary request carries no request fee. It allows Starrality to understand the need and consider an appropriate next step. It does not include every service, product, booking, purchase or third-party cost that may be needed to fulfill the request.
If a paid step is appropriate, Starrality will present the relevant price, quote, invoice or terms before that paid step proceeds.
The approved proposal, invoice, confirmation or agreement defines the services, deliverables and assumptions included. Work outside that scope may require a revised quote, additional payment or written change approval.
You are responsible for reviewing information before approval and for promptly identifying errors, omissions or changed requirements. Delays in feedback, materials or decisions may affect timing and availability.
Prices and payment schedules are stated at checkout or in the applicable quote, invoice or agreement. Unless stated otherwise, invoices are in U.S. dollars and due by the date shown. Starrality may wait to begin work, reserve capacity, release deliverables, place an order or confirm a booking until required funds have cleared.
Taxes, government charges, shipping, customs, duties, conversion charges and other amounts may apply as disclosed. If payment is declined, reversed or overdue, Starrality may pause or suspend performance. The Payment & Billing policy provides additional terms.
Starrality may identify, contact, coordinate with, introduce or arrange access to suppliers, specialists, venues, carriers, platforms and other independent third parties. Unless expressly stated otherwise, those providers are not employees, agents or partners of Starrality and remain responsible for their own goods, services, conduct, availability, pricing and terms.
Third-party costs are separate unless the written scope expressly includes them. You are responsible for reviewing provider terms and making final decisions. Starrality is not responsible for an outside provider’s acts, omissions, delays, cancellation, insolvency or failure to perform, except to the extent liability cannot lawfully be excluded.
Sourcing may include research, supplier contact, quote collection, production questions and negotiation within the approved scope. Information from suppliers is provided based on what they communicate and may change before an order is confirmed.
You remain responsible for evaluating and approving the supplier, samples, specifications, compliance requirements, intellectual-property rights, order terms and final purchase. Unless expressly agreed in writing, Starrality is not the manufacturer, seller, importer of record or quality-control laboratory for sourced goods.
Bookings and experiences may be subject to provider rules, identity or eligibility requirements, deposits, cancellation deadlines and final-sale terms. Availability is not confirmed until the applicable provider accepts the booking and any required payment is completed.
You are responsible for passports, visas, licenses, permissions, health or safety requirements and timely arrival unless the approved scope expressly assigns a specific item to Starrality.
Starrality may provide positioning, outreach, public relations, opportunity discovery or introductions. Media coverage, partnerships, casting, employment, representation, funding, sales, audience growth, supplier acceptance and other third-party decisions are not guaranteed.
An introduction does not create an endorsement, fiduciary relationship or guarantee of compatibility. You remain responsible for evaluating the opportunity and any resulting agreement.
Starrality does not provide legal, medical, tax, investment or other regulated professional advice unless the service is expressly provided by an appropriately licensed professional under separate terms. Information and coordination from Starrality are not a substitute for advice from a qualified professional who understands your circumstances.
We may decline or pause a request that is unlawful, unsafe, deceptive, exploitative or outside appropriate professional boundaries.
You agree to provide accurate, current and lawful information; respond reasonably when decisions are needed; review scopes and provider terms; obtain required permissions; and use payment methods you are authorized to use.
You are responsible for the legality, accuracy and rights associated with materials, instructions, claims and content you provide. You must not ask Starrality to impersonate another person, conceal a material fact, infringe rights or participate in unlawful or deceptive conduct.
You retain ownership of materials you provide. You grant Starrality and necessary service providers a limited, non-exclusive license to host, copy, modify, transmit and use those materials only as reasonably needed to evaluate, perform, secure and support the request.
You represent that you have the rights and permissions needed for that use, including permissions relating to names, likenesses, trademarks, music, photographs, data and confidential information.
The website, Starrality name, branding, layouts, text, graphics, software, systems, methods, templates and pre-existing materials are owned by or licensed to Starrality and protected by applicable law. You may not copy, sell, reverse engineer, scrape, misuse or create misleadingly similar materials except as lawfully permitted.
Ownership and permitted use of custom deliverables are governed by the specific project terms. Unless those terms say otherwise, Starrality retains its pre-existing tools, know-how, processes and reusable components.
You may not interfere with website security or operation; introduce malicious code; probe or bypass access controls; collect information through unauthorized automated means; misuse another person’s identity; harass others; or use Starrality for unlawful, infringing or deceptive purposes.
We may restrict access, preserve evidence or cooperate with lawful authorities when reasonably necessary to protect Starrality, clients, providers or the public.
Our Privacy Policy describes how personal information is handled. By submitting contact details, you agree that Starrality may communicate with you electronically about the request, transaction, account, security and service relationship. Marketing communications, if any, remain subject to applicable consent and opt-out rights.
Electronic acceptance, approvals, notices and records may be used to the extent permitted by law. Keep copies of confirmations, invoices and messages relevant to your request.
Cancellation and refund eligibility depends on the specific terms, work completed and commitments made. Before work begins, amounts paid to Starrality may be refundable if no non-recoverable commitment has been made. Once work begins, completed work and properly committed costs may be deducted from any eligible refund.
Third-party refunds depend on the provider’s rules and actual recovery. See the Refunds & Cancellations policy for additional details.
Either party may end an engagement as allowed by the specific terms. Starrality may immediately pause or terminate access or services for nonpayment, abuse, illegality, safety concerns, material misrepresentation, infringement, breach of these Terms or conduct that creates unreasonable risk.
Termination does not eliminate accrued payment duties, third-party commitments or provisions that by their nature should survive, including intellectual property, confidentiality, disclaimers, liability limitations and dispute terms.
To the fullest extent permitted by law, the website and services are provided on an “as available” basis. Starrality does not promise that the website will always be uninterrupted, error-free or secure, or that every request will be accepted, available or achieve a particular result.
Except for express written commitments in a specific agreement, Starrality disclaims implied warranties to the extent permitted by law. Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
To the fullest extent permitted by law, Starrality and its officers, directors, employees and contractors will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, opportunity, goodwill or data, arising from the website, services or third-party providers.
To the fullest extent permitted by law, Starrality’s aggregate liability arising from a specific paid service will not exceed the amount you paid directly to Starrality for the portion of that service giving rise to the claim. These limitations do not apply where prohibited or to liability that cannot lawfully be limited.
To the extent permitted by law, you agree to defend, indemnify and hold harmless Starrality and its officers, directors, employees and contractors from third-party claims, losses and reasonable costs arising from your unlawful conduct, material breach of these Terms, infringement by materials or instructions you provide, or misuse of the website or services.
This obligation does not apply to the extent a claim results from Starrality’s own unlawful conduct or other responsibility that cannot lawfully be shifted.
Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, war, civil unrest, labor disruption, public-health emergencies, governmental action, transportation interruption, utility or network failure, cyber incidents, supplier disruption or venue closure.
The affected party will make reasonable efforts to communicate and resume performance. Payment remains due for completed work and non-recoverable commitments.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where the law of your location requires otherwise. Before filing a claim, the parties should first attempt in good faith to resolve the issue through direct written communication.
Subject to non-waivable rights and applicable jurisdiction rules, legal proceedings relating to these Terms will be brought in the state or federal courts located in New York County, New York. Nothing prevents either party from seeking appropriate urgent or equitable relief.
We may update these Terms as the website, services or law changes. The revised version will be posted with a new effective date. Changes apply prospectively unless otherwise stated or required by law. Continued use after the effective date means acceptance of the revised Terms.
If a provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. These Terms, together with incorporated policies and request-specific terms, form the entire agreement concerning their subject matter. A failure to enforce a provision is not a waiver.
